1. Introduction and Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the MerakiGuard platform, website, and related services (collectively, the "Service") operated by Lab81 Ltd, a company registered in England and Wales, trading as MerakiGuard ("we", "us", "our", or "the Company").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms. If you do not agree to these Terms, you must not use the Service.

2. Description of Service

MerakiGuard is a cloud-based software-as-a-service (SaaS) platform that provides automated compliance auditing for Cisco Meraki networks. The Service connects to the Cisco Meraki Dashboard API using read-only API keys provided by you, retrieves network configuration data, benchmarks that configuration against compliance standards (including Cyber Essentials+, PCI-DSS, NIST CSF, and CIS Benchmarks), and generates compliance scorecards, reports, and alerts.

The Service operates on a read-only basis. MerakiGuard does not write to, modify, or alter any settings, policies, or configurations on your Meraki network infrastructure at any time.

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information, including your name and a valid email address. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorised use of your account
  • Ensuring that any Meraki API keys you provide are valid and that you have the authority to use them

You must be at least 18 years of age to create an account. We reserve the right to suspend or terminate accounts that contain false or misleading information.

4. Subscription and Billing

4.1 Plans and Pricing

The Service is offered on a tiered subscription basis, including a free plan and several paid plans. Current pricing is published on our website and is denominated in British Pounds Sterling (GBP). We reserve the right to change our pricing at any time, with at least 30 days' notice to existing subscribers before any price increase takes effect.

4.2 Payment Processing

All payments are processed securely through Stripe, our third-party payment processor. By subscribing to a paid plan, you authorise us to charge your payment method on a monthly recurring basis. You agree to provide valid and up-to-date payment information.

4.3 Billing Cycle

Paid subscriptions are billed monthly in advance on the anniversary of your subscription start date. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

4.4 Refunds

Subscription fees are non-refundable except where required by applicable law. If you cancel a paid subscription, you will retain access to paid features until the end of your current billing period, at which point your account will revert to the free plan.

4.5 Failed Payments

If a payment fails, we will attempt to process it again in accordance with Stripe's retry schedule. If payment cannot be collected after reasonable attempts, your account may be downgraded to the free plan until payment is resolved.

5. Acceptable Use

You agree to use the Service only for its intended purpose of compliance auditing and monitoring of Cisco Meraki networks. You must not:

  • Use the Service to access Meraki networks or organisations for which you do not have proper authorisation
  • Provide API keys belonging to third parties without their explicit consent
  • Attempt to circumvent any access controls, usage limits, or security measures of the Service
  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated tools to scrape, crawl, or otherwise extract data from the Service beyond the intended API functionality
  • Resell, sublicense, or redistribute the Service without our prior written consent
  • Introduce viruses, malware, or any other harmful code into the Service

We reserve the right to suspend or terminate your access if we determine, in our sole discretion, that you have violated these acceptable use provisions.

6. Data Handling and Security

6.1 Your Data

You retain all rights to the data you provide to the Service, including your Meraki API keys and the network configuration data retrieved through those keys. We process this data solely for the purpose of providing the Service to you.

6.2 API Key Security

Meraki API keys that you provide are encrypted at rest using Fernet symmetric encryption. Keys are only decrypted momentarily during scan operations to authenticate with the Cisco Meraki Dashboard API. We do not store API keys in plaintext at any time.

6.3 Configuration Snapshots

When a compliance scan is performed, the Service stores a snapshot of your network configuration data and the resulting compliance assessments. This data is used to generate reports, track compliance trends, and detect configuration drift.

Our full data processing practices are described in our Privacy Policy, which forms part of these Terms.

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including its software, design, compliance check logic, report templates, documentation, branding, and all related intellectual property, is and remains the exclusive property of Lab81 Ltd. These Terms do not grant you any rights to our intellectual property except for the limited right to use the Service in accordance with these Terms.

7.2 Your Content

You retain ownership of all data and content that you provide to the Service. By using the Service, you grant us a limited, non-exclusive licence to process your data solely for the purpose of providing and improving the Service.

7.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us an unrestricted, irrevocable, perpetual licence to use that feedback for any purpose, including improving the Service, without any obligation or compensation to you.

8. Compliance Reports and Assessments

The compliance scorecards, reports, and assessments generated by MerakiGuard are provided as informational tools to assist you in understanding your network's compliance posture. They are not a substitute for professional compliance auditing, certification, or legal advice.

MerakiGuard does not guarantee that passing all checks ensures compliance with any particular standard, nor does a failing result necessarily mean non-compliance. Compliance standards are subject to interpretation, and the ultimate determination of compliance rests with qualified auditors and certifying bodies.

You are solely responsible for ensuring your networks meet applicable compliance requirements.

9. Service Availability and Support

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our reasonable control.

We will make reasonable efforts to provide advance notice of planned maintenance. Support is available via email and is subject to response times based on your subscription plan.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Lab81 Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunity, or goodwill, arising out of or in connection with your use of the Service.
  • Our total aggregate liability for any claims arising under or in connection with these Terms shall not exceed the amount you have paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.
  • We shall not be liable for any damages or losses resulting from your reliance on compliance reports or assessments generated by the Service.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.

11. Indemnification

You agree to indemnify and hold harmless Lab81 Ltd, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or third-party rights
  • Any unauthorised use of Meraki API keys provided through your account

12. Termination

12.1 Termination by You

You may cancel your subscription and close your account at any time through your account settings or by contacting us at hello@lab81.io. If you cancel a paid subscription, your access to paid features will continue until the end of your current billing period.

12.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice, if:

  • You breach any provision of these Terms
  • Your use of the Service poses a security risk to the Service or other users
  • We are required to do so by law
  • Your account has been inactive for an extended period

12.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may delete your account data in accordance with our Privacy Policy. Provisions of these Terms that by their nature should survive termination will survive, including intellectual property, limitation of liability, indemnification, and governing law.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a prominent notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of those changes.

We encourage you to review these Terms periodically. The "Effective date" at the top of this page indicates when these Terms were last updated.

14. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Before initiating formal legal proceedings, you agree to attempt to resolve any dispute informally by contacting us at hello@lab81.io. We will make reasonable efforts to resolve the matter within 30 days.

15. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Lab81 Ltd regarding the Service and supersede all prior agreements.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
  • Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
  • Force Majeure: We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including natural disasters, acts of government, internet disruptions, or third-party service failures.
